Crypto Legal Counsel

We are a fast-growing Web3 startup providing end-to-end services to **crypto wallets** , **digital** **asset exchanges** , and **tokenization platforms** across multiple jurisdictions. Our mission is to build trust-driven, compliant, and scalable infrastructure for the next wave of digital finance. As we expand our global footprint, we’re seeking an experienced **Legal Counsel** with strong cross-border experience in **crypto law, regulatory compliance, and commercial** **contracts** to help guide our strategic growth while managing risk and regulatory obligations. 🎯 **Key Responsibilities** 🔒 **Regulatory & Crypto-Specific Legal** Advise on local and international crypto regulations, including: o **V ARA (UAE)** o **MiCA (EU)** o **SEC, CFTC, FinCEN (USA)** o **FATF, V ASP, and AML/KYC guidelines** Provide legal guidance on tokenization structures, whitepapers, and tokenomics models. Support legal structuring for wallet infrastructure, token issuance, exchange integrations, and custody services. Lead or support crypto exchange licensing applications and interactions with regulatory bodies globally. 🧾 **Corporate & Commercial Legal** Draft, review, and negotiate commercial contracts including: o SaaS agreements o Token platform partnerships o Licensing & IP agreements o Vendor, reseller, and B2B service agreementsmTransform.com Advise on and manage **company law matters** , including: o Board governance and shareholder relations o Corporate structuring and international subsidiaries o Entity incorporation in crypto-friendly jurisdictions (e.g., BVI, Cayman, UAE Free Zones) Manage all legal documentation related to fundraising, investor agreements, token vesting schedules, and SAFE/SAFT contracts. 👥 **Employment & Workplace Compliance** Advise on **employment law** , contractor agreements, and HR policies in accordance with UAE labor law and international standards. Ensure company policies comply with applicable labor laws (e.g., Meydan, IFZA, mainland UAE, or remote teams in other jurisdictions). Assist in drafting employment contracts, stock/token option agreements, and confidentiality/IP assignments. 🌍 **Cross-Border Legal Strategy** Develop and maintain internal frameworks for **cross-border compliance** , risk management, and international data transfer (e.g., GDPR, DPDP). Monitor legal developments globally and make proactive recommendations to ensure legal agility and risk minimization. Coordinate with external counsel in different jurisdictions as required. 🛠 **Requirements** Law degree (LLB, JD, or equivalent) and licensed to practice in at least one jurisdiction. 5–10 years of post-qualification experience, ideally covering: o Blockchain/crypto or fintech regulation o Commercial and tech contracts o Corporate and employment law o Cross-border legal work and compliance Strong knowledge of: o Token classification and crypto licensing (utility vs security tokens) o AML/KYC and data privacy laws (GDPR, DPDP, etc.) o Company law in one or more jurisdictions o UAE employment law or similar systems Excellent drafting, negotiation, and advisory skills. Experience working closely with tech, product, and operations teams. Ability to work independently in a fast-paced, startup environment. ✅ **Good to Have** Experience in Web3 or crypto companies (in-house or legal advisory). Understanding of DAO legal structures, smart contract audit frameworks, and IP protection in blockchain. Familiarity with regulatory environments in the UAE, EU, UK, US, or APAC. Experience advising on hybrid legal models (e.g., onshore/offshore entity setups).
