This is an opportunity to build a legal function from the ground up while working on complex, cross-border matters that span multiple jurisdictions and regulated financial sectors. **What We're Looking For** - 5+ years PQE (preferred) - Strong fintech or banking legal background - Experience with payment institutions or EMIs - Experience in crypto/Web3 is a major advantage - Strong commercial contract drafting skills - Experience negotiating with banks and regulated financial institutions - Cross-border legal experience - International corporate structuring experience **Bonus Experience** - VARA - ADGM - DIFC - FINTRAC - FCA - PSD2 - Visa & Mastercard Rules - Open Banking - Banking-as-a-Service - Card Acquiring - Payment Orchestration - Crypto Payments - Digital Assets - Merchant Acquiring **Key Responsibilities** **Commercial Contracts** Draft, negotiate and review: Merchant Service Agreements, Acquirer Agreements, Banking Agreements, Payment Institution Agreements, Open Banking Agreements, Crypto Infrastructure Agreements, Referral & Partner Agreements, Technology & SaaS Agreements, White Label Agreements, NDAs, Employment Agreements, Vendor Agreements **Regulatory & Licensing** Support and advise on: UAE VARA licensing, ADGM & DIFC regulations, FINTRAC (Canada), PSD2 / PSD3, Electronic Money Institution frameworks, Payment Institution regulations, Open Banking regulations, AML / CTF framework, PCI DSS contractual requirements, Visa & Mastercard compliance, Cross-border payment regulations **Banking & Payments** Work directly with: Sponsor Banks, Acquiring Banks, Card Schemes, Banking Partners, Payment Institutions, EMI Partners, Crypto Custodians, Liquidity Providers **Merchant Legal Support** Provide legal guidance on: High-risk merchant onboarding, Gaming, Forex, Crypto, Digital Services, SaaS, Subscription Businesses, Chargebacks, Merchant disputes, Merchant reserves, Terminations, Processing restrictions, Scheme compliance **Corporate Governance** Lead: Board resolutions, Shareholder documentation, corporate restructuring, international incorporations, Share transfers, ESOP documentation, Group governance, Regulatory correspondence **Litigation & Dispute Management** Manage legal matters involving: Merchant disputes, Debt recovery, Arbitration, Banking disputes, Regulatory investigations, Visa & Mastercard compliance matters, External legal counsel across multiple jurisdictions **Compliance Support** Work closely with the Compliance and Risk teams on:  AML policies, Merchant risk framework, KYC/KYB procedures, Regulatory audits, Internal governance, Compliance manuals, Due diligence programmers **Interested?** Send your CV and a short introduction to shivangi.m@moneyeu.com with the subject: **Senior Legal Counsel – Payments & Regulatory Affairs** or **Head of Legal (Payments & FinTech)** . **– MoneyEU**
